BYLAWS OF <br /> HIBISCUS CHILDREN'S CENTER, INC. <br /> (A NOT-FOR PROFIT CORPORATI019 <br /> Article I <br /> The Corporation <br /> Section L Name. The name of the corporation shall be "Hibiscus Children ' s <br /> Center, Inc . " The Corporation is referred to in these Bylaws as "Hibiscus . " <br /> Section 2. Seal. The seal of Hibiscus shall be in the form of a circle and shall <br /> bear the name of Hibiscus and the year of its incorporation. The seal shall be kept by the <br /> Secretary and shall be affixed to formal documents executed in the name of Hibiscus to <br /> which by law or custom the corporate seal is required to be affixed or is customarily <br /> affixed. <br /> Section 3. Offices. The principal office of Hibiscus shall be located at 2400 <br /> Northeast Dixie Highway, City of Jensen Beach, County of Martin, and State of Florida. <br /> Hibiscus may have such other offices at such other places, either within or without the <br /> State of Florida, as the Board of Directors may designate from time to time by resolution. <br /> Article II <br /> Mission and Purpose <br /> Hibiscus is organized exclusively for one or more of the following purposes : <br /> Section L To break the cycle of child abuse by providing emergency shelter and <br /> other services as may be necessary. <br /> Section 2. To be Non-Sectarian and Non-Partisan in its delivery of services . <br /> Section 3. To primarily serve the needs of children and their families residing in <br /> Martin, St. Lucie, Indian River, Okeechobee, and Palm Beach Counties , <br /> Section 4. To have such other health, religious , charitable , scientific, testing for <br /> public safety, literary, or educational purposes, as specified in Section 501 (c)(3 ) of the <br /> Internal Revenue Code of 1986 (hereinafter the "Code") , and shall not carry on any <br /> activities not permitted to be carried on by a corporation exempt from federal income tax <br /> under Section 501 (c) (3 ) of the Code. <br /> Article III <br /> Earnings and Distribution <br /> Section L Earnings. No part of the net earnings of Hibiscus shall inure to the <br /> benefit of any director of Hibiscus, officer of Hibiscus , or any private individual (except <br /> Date of Approval by Committee: March 27, 2002 <br /> Date of Approval by Board: April 24, 2002 <br />
