Hibiscus on behalf of Hibiscus . The President shall insure that a minimum of five (5) <br /> Hibiscus Board members serve on the Hibiscus Foundation Board, by appointment if <br /> necessary, one of which may be the President. The President may serve no more than <br /> two (2) consecutive years at the will of the Board. <br /> Section 6. Vice President. The Vice President shall have all the powers and <br /> functions of the President in the absence or disability of the President of Hibiscus . The <br /> Vice President shall perform such other duties as the Board of Directors shall prescribe or <br /> as delegated by the President. <br /> Section 7. Secretary. The Secretary shall be responsible for keeping the minutes <br /> of the Board of Directors, shall have custody of the seal of Hibiscus, and shall affix and <br /> attest the same to documents when duly authorized by the Board of Directors, shall attend <br /> to the giving or serving of all notices of Hibiscus , shall have charge of such books and <br /> papers as the Board of Directors may order, shall attend to such correspondence as may <br /> be assigned, and shall perform all the duties incidental to his or her office. <br /> Section 8. Treasurer. The Treasurer shall have the care and custody of all the <br /> funds and securities of Hibiscus, shall deposit said funds in the name of Hibiscus in such <br /> bank or trust company as the Board of Directors may elect, shall make investments , other <br /> than deposits , only with the approval of the Board of Directors , shall sign such instrument <br /> as may require the Treasurer' s signature but only with the approval of the President, shall <br /> at all reasonable times exhibit the corporate books and accounts to any Director or officer <br /> of Hibiscus upon request, and at the end of each corporate year shall present an annual <br /> report setting forth in full the financial condition of Hibiscus . <br /> Article VII <br /> Chief Executive Officer <br /> Section L Duties. The Board of Directors of Hibiscus is authorized to hire a <br /> Chief Executive Officer. The Chief Executive Officer shall be duly authorized and <br /> responsible for organizational management and policy implementation over Hibiscus and <br /> shall report directly to the Board. The Chief Executive Officer shall attend all board <br /> meetings, unless the Board is in executive session, but shall not have a vote on the Board. <br /> Section Z Performance. The performance of the Chief Executive Officer shall <br /> be assessed annually in writing. The Executive Committee, in consultation with the <br /> Chief Executive Officer, shall establish identifiable goals and objectives in order to <br /> accurately and objectively measure the Chief Executive Officer' s performance . <br /> Section 3. Planned Short Term (three (3) months or less) Absence of Chief <br /> Executive Officer. During planned absences, the Chief Operating Officer shall assume <br /> the responsibilities of the Chief Executive Officer. If the Chief Operating Officer is <br /> unavailable, then the Chief Executive Officer shall appoint another senior manager to <br /> assume the Chief Executive Officer ' s responsibilities and notify the Operating Board <br /> President in advance of this designation. <br /> Date of Approval by Committee: March 27, 2002 <br /> Date of Approval by Board: April 24, 2002 <br /> G <br />
