Section 4. Unplanned or Long Term (in excess of three (3) months) Absence of <br /> Chief Executive Officer. The Operating Board President shall appoint the Chief <br /> Operating Officer or another senior manager to assume the responsibilities of the Chief <br /> Executive Officer until the next Operating Board meeting, at which time an interim Chief <br /> Executive Officer will be formally appointed. If necessary, the Board shall form a <br /> committee with the responsibility of, and the resources for transitional planning, <br /> identifying qualified candidates , and conducting a formal search. <br /> Article VIII <br /> Miscellaneous <br /> Section L Sureties and Bonds. In case the Board of Directors shall so require, <br /> any officer or agent of Hibiscus shall execute to Hibiscus a bond in such sum and with <br /> such surety or sureties as the Board of Directors may direct, conditioned upon the faithful <br /> performance of his or her duties to Hibiscus and including responsibility for the <br /> negligence and for the accounting for all property, funds, or securities of Hibiscus which <br /> may come into the officer' s or agent ' s hands . <br /> Section 2. Fiscal Year. The fiscal year of Hibiscus shall be fixed by the Board of <br /> Directors from time to time, subject to applicable law. <br /> Section 3. Indemnification. <br /> 3. 1 To the extent permitted by law, Hibiscus shall indemnify any person, <br /> made a party to an action, other than one by or in the right of Hibiscus to <br /> procure judgment in its favor, by reason of the fact that he or she is or was <br /> a Director or officer of Hibiscus, against the reasonable expenses , <br /> including attorneys ' fees, actually and necessarily incurred by him or her <br /> in connection wfth the defense of such action, or in connection with an . <br /> appeal therein, except in relation to matters as to which such Director or <br /> officer is adjudged to have breached his or her duty to Hibiscus under <br /> Chapter 617 of the Florida Not-For-Profit Corporation Law. <br /> 3. 2 To the extent permitted by law, Hibiscus shall indemnify any person, <br /> made or threatened to be made, a party to an action or proceeding other <br /> than one by or in the right of Hibiscus to procure judgment in its favor, <br /> whether civil or criminal, including an action by or in the right of any <br /> Hibiscus of any type or kind, domestic or foreign, or any partnership, joint <br /> venture, trust, employee benefit plan, or other enterprise, which any <br /> Director or officer of Hibiscus served in any capacity at the request of <br /> Hibiscus , by reason of the fact that he or she, his or her testator, or <br /> personal representative was a Director or officer of Hibiscus, or served <br /> such other corporation, partnership, joint venture, trust, employee benefit <br /> Date of Approval by Committee: March 27, 2002 <br /> Date of Approval by Board.
