r � <br /> BYLAWS — HOMELESS ASSISTANCE CENTER, INC <br /> February, 2003 <br /> 6.4 AD HOC COMMITTEES <br /> The Board of Directors may establish Ad Hoc Committees as needed to further the purposes of <br /> the Corporation. A By-Laws Committee shall be established every two [2] years to review the <br /> bylaws and recommend changes to the Board of Directors . <br /> The By-Laws may be change only by a 50% or more vote of all members of the Board of <br /> Directors at a monthly Board of Directors meetings . <br /> ARTICLE VII <br /> ADVISORY BOARD <br /> 7A FUNCTION AND GENERAL POWERS <br /> The Advisory Board shall advise the Board of Directors on matters concerning the operation, long <br /> range planning -and financial security of the Corporation. The members of the Advisory Board <br /> shall advise the Board or Directors but shall not be members of the Board and have no voting <br /> authority . The .members of the Advisory. Board shall be .appointed .by a majority vote of the .Board <br /> of Directors and shall be compensated only to the extent members of the Board of Directors are <br /> compensated. The President shall .act as liaison between .the Advisory Board .and .the Board of <br /> Directors and shall coordinate the efforts of the Advisory Board. At each Annual Meeting, the <br /> Second Vice President shall report the prior year's activities of the Advisory Board . <br /> 7.2 MEETINGS AND NOTICE <br /> The Advisory Board shall meet at such times as deemed necessary by the Board of Directors, but <br /> no less than one ( 1 ) time per year within thirty (3 0) days prior to the Annual Meeting. The <br /> President shall call the meetings of the Advisory Board and shall give appropriate notice <br /> (including the date, time and place) to all Advisory Board members at least ten ( 10) days prior to <br /> the date of the meeting. The appropriate notice may be by facsimile, personal delivery, e-mail or <br /> telephone call . In the event the purpose of the meeting is considered to be of an emergency nature, <br /> notice (including the date, time and purpose) may be given by facsimile, personal delivery, e-mail <br /> or telephone call no later than twenty four [24] hours prior to the date of the meeting. <br /> 9 <br />
