s <br /> BYLAWS — HOMELESS ASSISTANCE CENTER, INC <br /> February, 2003 <br /> ARTICLE VIII <br /> BYLAW AMENDMENTS, RULES , POLICIES AND PROCEDURES <br /> 8. 1 AMENDMENTS <br /> The power to make, alter, amend or repeal the Corporation Bylaws shall be vested in the Board of <br /> Directors of the Corporation . Proposals for such changes, additions or deletions shall be <br /> submitted in writing to the Secretary for immediate distribution to the Board of Directors at least <br /> five [5] business days before a regular monthly meeting at which the Board may take action . <br /> 8. 1 . 1 Voting Requirement <br /> Approval of any changes , additions or deletions to the Bylaws shall require a majority <br /> vote of all Board of Directors . <br /> 8.2 RULES . POLICIES AND PROCEDURES <br /> The Board of Directors may adopt, amend or repeal rules, policies and procedures for the <br /> management of the internal affairs of the Corporation (as described in the Corporation's Policy <br /> and Procedure Manual) and the governance of its Officers, agents , Committee members and <br /> employees . <br /> ARTICLE IX <br /> MISCELLANEOUS <br /> 9. 1 FISCAL YEAR AND METHOD OF ACCOUNTING <br /> The fiscal year of the Corporation shall be July I ` through June 30`b of each year. The accrual <br /> method of accounting shall be the method used by the Corporation . The Corporation shall have <br /> an annual audit performed by an independent accredited CPA accounting firm . The annual audit <br /> shall be completed, reviewed and approved by the Board of Directors at their October board <br /> meeting each year. <br /> 9.2 SIGNATURE OF NEGOTIABLE INSTRUMENTS <br /> All bills, notes, checks or other instruments for payment of money shall be signed by the <br /> Executive Director as he or she is authorized to do so as set forth in these Bylaws or by resolution <br /> of the Board of Directors . In the event the Executive Director is not available to execute the <br /> aforesaid instruments, the Corporation's Board Treasurer or officer[s] of the board shall have the <br /> authority to execute these documents subject to the same restrictions as are hereby imposed upon <br /> the Executive Director. Signature cards for the Corporation' s financial accounts shall include the <br /> names of all members of the Executive Committee, the Executive Director or as designated by the <br /> board. The Executive Director, through the Corporation's Comptroller, shall be responsible for <br /> ensuring that the applicable signature cards are kept up to date . <br /> 9.3 DEPOSITS <br /> All funds of the Corporation shall be deposited, from time to time, to the credit of the Corporation <br /> in one or more such banks, trust companies or other depositories as the Board of Directors may, <br /> from time to time, designate and upon such terms and conditions as shall be fixed by the Board. <br /> All deposits shall be made by someone other than the person preparing said deposit[s] . The <br /> person making said deposit[s] shall be designed by the Executive Director or the Executive <br /> Committee . The Executive Director may be the person making deposit[s] . <br /> 10 <br />
