i <br /> payment will be subject to section 4 . 1 of this Agreement . County agrees to sign such <br /> documents or easements as may reasonably be required by such utility companies to <br /> provide utilities services to the North Tower, including the grant to M/A- COM or to the <br /> servicing utility company , at no cost to WA- COM , of a non -exclusive easement in , over , <br /> across , or through the Property ( as such term is used in the North Tower Lease <br /> Agreement) as reasonably required by such servicing utility company for utility services . <br /> ARTICLE 6 - MODIFICATIONS <br /> 6 . 0 . North Tower . M/A- COM acknowledges and agrees that the ability of M /A- COM to <br /> make any changes , alterations , additions or improvements to its facilities and equipment <br /> shelter at or on North Tower or the Property (as such term is used in the North Tower <br /> Lease Agreement) , together with the ability of the County to grant such approval is <br /> governed by the North Tower Lease Agreement . <br /> ARTICLE 7 , ACCESS ; AS - IS ; QUIET ENJOYMENT <br /> 7 . 0 . North Tower. M/A- COM acknowledges and agrees that access to the North Tower is <br /> governed by the terms of the North Tower Lease Agreement . M/A- COM takes the North <br /> Tower facilities as is and County does not warrant that the North Tower facilities are <br /> sufficient for the use intended by M/A- COM . <br /> ARTICLE 8 - ASSIGNMENT AND SUBLETTING <br /> 8 . 0 . North Tower . M/A- COM shall not assign this Agreement or attempt to sublet the <br /> whole or any part of the North Tower , or permit any other persons to occupy same without <br /> the express prior written consent of the County and TALCOM , Inc . , which consent may be <br /> granted , withheld , delayed or conditioned by either the County or TALCOM , Inc . Any such <br /> attempt shall be null and void , and may , at the option of the County , be deemed an event <br /> of default hereunder . Any such assignment or subletting , with the consent of County , and <br /> TALCOM , Inc . , as applicable , shall relieve M/A-COM from liability for payment of rent and <br /> other sums herein provided or from the obligation to keep and be bound by the terms , <br /> conditions and covenants of this Agreement . <br /> ARTICLE 9 . INDEMNITY <br /> 9 . 0 . North Tower . M/A- COM acknowledges and agrees that a separate indemnity to <br /> TALCOM , Inc . may be required under the North Tower Lease Agreement , and M /A- COM <br /> agrees to sign or provide any indemnity reasonably required by TALCOM , Inc . pursuant to <br /> the North Tower Lease Agreement . <br /> 9 . 1 . The County shall not be liable for any damages to or loss of, including loss due to <br /> petty theft , any property occurring on the North Tower or the Property ( as such term is <br /> used in the North Tower Lease Agreement) , or any part thereof, and M /A- COM agrees to <br /> hold the County harmless from any claims for damages , except where such damage or <br /> injury is the result of the gross negligence or willful misconduct of the County or its <br /> employees . <br /> 5 <br />
