9 . 2 The indemnification and hold harmless provisions of this Agreement shall survive the <br /> termination or expiration of this Agreement . <br /> ARTICLE 10 . INSURANCE <br /> 10 . 0 . North Tower . M/A-COM agrees to provide any and all insurance to TALCOM , Inc . <br /> as required by the North Tower Lease Agreement . <br /> ARTICLE 11 . MAINTENANCE <br /> 11 . 0 . North Tower . M/A- COM , at its sole cost , shall repair all damage to the North Tower <br /> and the Property (as such term is used in the North Tower Lease Agreement) caused by <br /> M/A- COM , its employees , agents , independent contractors , guests , invitees , licensees , or <br /> patrons . County , at its sole cost , shall repair all damage to the North Tower and the <br /> Property (as such term is used in the North Tower Lease Agreement) solely caused by <br /> County , its employees , agents , independent contractors , guests , invitees , licensees <br /> (excluding M/A- COM ) , or patrons . <br /> ARTICLE 12 , TERMINATION <br /> 12 . 0 . North Tower. The County reserves the right to terminate this Agreement if the North <br /> Tower space used by M/A-COM is needed by the County . The foregoing termination right <br /> may only be exercised by the County after: ( i) the County gives M/A-COM 180 days prior <br /> written notice of its need ; and ( ii ) the County receives written notice during such 180 days <br /> from M/A-COM that M/A-COM cannot accommodate any such future loading requirements <br /> of the County on the North Tower. The County and M/A-COM agree that the180 days may <br /> be extended by mutual agreement while M/A-COM is diligently using reasonable efforts to <br /> accommodate any such future loading requirements of the County on the North Tower. <br /> 12 . 1 . North Tower. M/A-COM acknowledges and agrees that TALCOM , Inc . has termination <br /> rights , pursuant to the North Tower Lease Agreement . County covenants to provide prompt <br /> notice to M/A- COM should County receive any termination notice from TALCOM , Inc . The <br /> County reserves the right to terminate this Agreement if the County is notified by TALCOM , <br /> Inc . that an uncured breach of the North Tower Lease Agreement has occurred that is <br /> caused by M/A-COM that M/A-COM is not reasonably disputing . <br /> 12 . 2 . The foregoing termination rights are in addition to any other termination rights <br /> contained in this Agreement . <br /> ARTICLE 13 - M/A-COM DEFAULT <br /> 13 . 0 . The occurrence of any one or more of the following events shall constitute an " Event <br /> of Default' hereunder by M/A-COM : <br /> 13 . 0 . 1 . The failure to make payments required to be made hereunder, as and when due . <br /> 6 <br />
