IEC <br /> NEC Unified Solutions , Inc . <br /> 15 . 3 . Provide any security clearances , escorts , special safety equipment , and access <br /> training as required to access the site for cutover coverage . <br /> 15 . 4 . Prohibit changes to system configuration except by NEC-trained and/or certified <br /> personnel . <br /> 16 . Project Acceptance <br /> NEC shall be responsible for the following : <br /> 16 . 1 . Complete and give the Services Completion checklist to Customer to sign . <br /> 16 . 2 . Provide all system installation documentation . <br /> 16 . 3 . Upon signed customer acceptance , invoice Customer the remaining 50 % of service <br /> price . <br /> 16 . 4 . Resolve all non -conforming issues identified by Customer in writing prior to the <br /> Cutover Date ( "Acceptance Date " ) . <br /> Customer shall be responsible for the following : <br /> 16 . 5 . Sign Services Completion checklist indicating acceptance of all completed activities <br /> associated with this implementation . The system shall be accepted , for purposes of <br /> this SOW, 15 days after the Cutover Date (the "Acceptance Date" ) , unless Customer <br /> gives NEC written notice prior to the Acceptance Date detailing how the System does <br /> not conform to the requirements of this SOW. <br /> 16 . 6 . Submit payment for remaining 50 % of service price . <br /> Warranty <br /> 17 . On -Call Workmanship Warranty ( days 1 to 90 after Cutover) <br /> NEC shall be responsible for the following : <br /> 17 . 1 . Provide on -call technicians during normal business hours . The technician ' s <br /> responsibilities include 1 ) Responding to alarm conditions and calls on NEC-supplied <br /> equipment and perform corrective action and 2 ) Performing preventive maintenance <br /> on NEC -supplied equipment. Other duties may be performed at the prevailing NEC <br /> time and materials rates . <br /> Customer shall be responsible for the following : <br /> 17 . 2 . Report alarm conditions to the NEC Remote Maintenance Facility by telephone as <br /> soon as the alarm occurs . <br /> 17 . 3 . Provide adequate access to the site . <br /> 18 . NEC Warranty Coverage ( Days 91 -365 ) <br /> NEC Unified Solutions agrees to provide PARTS and LABOR COVERAGE for the hardware equipment <br /> (" Equipment") listed in the Equipment List (collectively , such Equipment and software is referred to as the <br /> " System ") , installed at the Customer site (s) (the " Premises") specified in the Coverage Summary (Section 10) . To <br /> the extent that any provision of this Coverage , directly conflicts with any term or condition of the Agreement, the <br /> terms of the Coverage shall be deemed to have the controlling provision . <br /> (a) Definitions : <br /> NEC Unified Solutions, Inc.
