DISSOLUTION OF JOINT VENTURE <br />The Board reviewed the following memo: <br />TO: The Honorable Members of DATE: March 10, 1982 <br />the Board of County Commissioners <br />SUBJECT: <br />Dissolution <br />of Sverdrup <br />icates, Inc. <br />Associates. <br />FROM: REFERENCES: <br />David L. Greene _ <br />Assistant County Administrator <br />y <br />DESCRIPTION AND CONDITIONS: <br />FILE: <br />of Joint Venture <br />& Parcel and Assoc- <br />- Beindorf and ` <br />The joint venture of Sverdrup & Parcel - Beindorf and Associates have <br />been providing engineering services under contracts with Indian <br />River County primarily on matters related to water, sewer and utilities. <br />Both firms comprising the joint venture are desirous of dissolving <br />the joint venture. Beindorf and Associates, Inc., desires to assign <br />all interests in the joint venture to Sverdrup & Parcel and Associates, <br />Inc. Sverdrup & Parcel would then assume all responsibilities and <br />obligations to contracts with Indian River County and fulfill all <br />responsibilities and obligations as a single entity. However, the <br />assignment of Beindorf and Associates interests to Sverdrup & Parcel <br />is conditioned on the written approval ofvthe Indian River Count -y <br />Board of County Commissioners. For this reason, Sverdrup & Parcel <br />and Associates, Inc., and Beindorf and Associates, Inc., have <br />requested the Boards consideration and approval. <br />ALTERNATIVES AND ANALYSIS <br />Sverdrup & Parcel and Associates, Inc., has advised the Administrator's <br />Office of the desire to assume Beindorf's interest in the joint venture <br />and further, they have met with the County Attorney and Commissioner <br />Scurlock to discuss this matter:, <br />The Attorney has recommended the County require a written statement <br />from the County's Bond Counsel confirming the assignment would not <br />jeopardize any of the Bonds in effect on projects where the joint <br />venture is the Engineer. Further, the Attorney has also recommended <br />the County require written approval of Farmers Home Administration <br />of the assignment and state the assignment would not affect any <br />FMHA Loan obligations to Indian River County. <br />MAR 171982 <br />100 <br />@OOK 49 ' PSA-bE243, <br />
