U`G 3 1983 <br />o e ?5 <br />(a) ceases to exist as a non-profit corporation, or <br />(b) is not funded for any given year, or <br />(c) fails to complete renovations and begin providing <br />medical or supportive services to residents of Indian River County <br />within nine (9) months of the date of this deed, or <br />(d) fails to provide medical or supportive services to <br />the residents of Indian River County for a continuous period <br />exceeding ninety (94) days, exclusive of service interruptions <br />caused by fire, windstorm or other casualty, or <br />(e) fails to have at any time representatives of Indian <br />River County on the corporation's Board of Directors in a number <br />sufficient to provide representation which is proportional, based <br />on the volume of services rendered to the Board representation <br />afforded to.other communities served by the corporation. In no <br />event shall there be fewer -than two (2) representatives of Indian <br />River County on the Board of Directors, one of which shall be a <br />representative of the West Wabasso Progressive Civic League or <br />successor organization. <br />3. The parties acknowledge the possibility that, in the <br />future, the funding and programs of party of the second part may <br />be transferred to another non-profit corporation, or other entity, <br />providing similar programs and services. In the event of such a <br />transfer, the subject property may be conveyed to the transferee, <br />and such a conveyance shall not cause a reversion pursuant to this <br />Reversionary Clause. Should the property, subject to this deed, <br />ever revert, pursuant to,this Reversionary Clause, all permanent <br />improvements and non -removable fixtures shall become the property <br />of the first party. <br />RESERVATION OF USE: <br />The party of the first part hereby reserves the following <br />rights and interests: <br />1. To use for public purposes any portions of the demised <br />premises not in use by the party of the second part, subject to <br />the following: <br />(a) The use by party of the first part shall not <br />unreasonably interfere with the then existing uses of other por- <br />tions of the property by,party of the second part. <br />R as BPA, sE2n55 <br />
