AGREEMENT FOR PROFESSIONAL SERVICES <br />THIS AGREEMENT made and entered into this 24th day of <br />April ,1985, by and between SIPPEL, MASTELLER, LORENZ & <br />HOOVER, INC., a New Jersey corporation, hereinafter referred to as <br />"Consultant" and INDIAN RIVER COUNTY, FLORIDA, a <br />political subdivision of the State of Florida, hereinafter <br />referred to as "COUNTY." <br />W I T N E S S E T H <br />WHEREAS, the COUNTY desires to engage a consulting <br />engineering <br />firm to <br />provide professional services relating to <br />the <br />Indian River <br />County <br />water main extensions and storage tanks <br />and <br />relating systems; and <br />WHEREAS, the COUNTY has followed the selection and <br />negotiation process, in accordance with the Florida Consultants <br />Competitive Negotiation Act of 1973 (Chapter 287.055, Florida <br />Statutes, as amended; and <br />WHEREAS, the COUNTY desires to enter into a <br />professional services agreement with the consulting engineer to <br />provide general consulting and engineering services as may be <br />needed and authorized from time to time by the COUNTY. <br />NOW, THEREFORE, AND IN CONSIDERATION OF the <br />premises and mutal covenants hereinafter recited and for other <br />good and valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />ARTICLE 1. AUTHORIZATION OF WORK: <br />la. All work to be performed by the Consultant under this <br />agreement shall be authorized in writing by the Board of <br />County Commissioners through the County's representative <br />appointed in accordance with Article 7b below. <br />lb. The authorization shall contain a description of the <br />work to be undertaken, reference to the appropriate <br />section of this Agreement for the performance of the <br />work and reference to the appropriate section of this <br />Agreement for payment of the work. Further, the <br />authorization shall contain a budget amount of the fee <br />to be paid based upon the applicable method for <br />calculating the fee, and such budget amount shall not be <br />exceeded unless prior written approval and an increase <br />in funds available are provided by the County. In the <br />event the County does not approve a revised budget and <br />additional funding, and the need for such action is not <br />shown to be the fault of the Consultant, then the <br />authorization shall be terminated and the Consultant <br />shall be paid in full for all work performed to that <br />point. <br />S i�� <br />-1- <br />APR 24 1985 BOOKF�.�� <br />
