M M <br />* experience with environmental land management and <br />stewardship <br />* experience in identifying -and coordinating matching fund <br />partnerships for acquisition and management <br />* accessibility <br />* experience with public relations <br />* degree to which proposed fee structure serves county <br />objectives <br />Staff generally agreed that the Trust for Public Land/Glatting <br />Jackson and The Nature Conservancy are the top proposals, with both <br />applicants highly qualified for the requested services. Due to <br />their proposed fee structure, however, The, Trust for Public <br />land/Glatting Jackson was considered the first choice by the <br />majority of staff. <br />Fee Structure <br />The Trust for Public Land/Glatting Jackson (TPL) fee structure is <br />summarized as follows: <br />* TPL will "upfront" due diligence/transaction costs <br />(appraisals, surveys, etc.) and will not seek <br />reimbursement from the County until and unless a closing <br />occurs. <br />* After all costs have been paid, TPL will "guarantee a <br />bargain sale to Indian River County" (fair market value <br />less transaction costs). <br />* When bargain sale purchases are negotiated such that <br />savings below fair market value exceed the costs of <br />transaction, the division of these savings between the <br />County and TPL will be determined on a project -by - <br />project, percentage split basis. <br />* TPL proposes that the County pay TPL a yearly <br />"performance bonus" incentive payment, if TPL's <br />performance attains pre -defined goals. <br />Staff's position is that TPL's proposed fee structure best serves <br />the County's objective of acquiring environmental land at less than <br />fair market value. TPL's proposal also provides little or no <br />financial risk to the County regarding pre-acquisition costs, since <br />TPL is offering to "upfront" these costs with no reimbursement if <br />a closing is not forthcoming. <br />The Nature Conservancy (TNC) offered to provide services with fees <br />"only to cover costs". However, TNC did not submit a specific <br />recommendation on how its fee schedule would be structured, leaving <br />this choice (e.g., flat fee, percentage of sale, etc.) up to the <br />County. <br />In selecting a consultant for environmental land acquisition <br />services, it is staff's position that a detailed contract must be <br />developed to identify specifics and ensure that the County and the <br />consultant agree on all terms. <br />21 <br />� �� 6®OK 91 PCE 789 <br />
