SECTION 5.07. CONDUCT BETWEEN EXECUTION AND CLOSING. <br />(A) Upon the execution of this Agreement, the City shall <br />continue to provide water and wastewater treatment to its current <br />customers in the ordinary and usual manner. <br />(B) The City shall prudently maintain the Sebastian Utility <br />System to ensure its proper operation through closing. <br />(C) From and after the date of the execution of this <br />Agreement, the City shall not, without prior written consent of the <br />County, dispose of or encumber any part or portion of the Sebastian <br />Utility System, except any non -material transactions that occur in <br />the ordinary course of the City's business. The City shall fully <br />apprise the County of all such transactions at closing. <br />(D) From and after the date of the execution of this <br />Agreement, the City shall not, without prior written consent of the <br />County, (1) enter into or modify any effluent reuse or disposal <br />agreements affecting the Sebastian Utility System or (2) enter into <br />or modify any developer, water or wastewater service agreement <br />affecting the Sebastian Utility System. <br />SECTION 5.08. TUSK OF LOSS. At all times prior to and <br />through the day of closing, the City shall maintain adequate fire <br />and extended insurance coverage for the cost of any repairs to the <br />Sebastian Utility System that may be required by casualty damage. <br />The risk of loss during the said period of time shall fall upon the ; <br />City. The risk of loss shall pass to the County at closing. <br />16 of 28 <br />
