Contract Terms and Conditions <br />222209954,0 <br />therefrom; however, it shall not be the Contractor's primary responsibility to ensure that the Specifications are in <br />accordance with such laws, ordinances, rules and regulations. <br />5.6. County as Intended Beneficiary of Subcontracts <br />The County shall be an intended substantial beneficiary of the written agreements between the Contractor and its <br />subcontractors. <br />5.7. Emergencies <br />In emergencies affecting the safety of persons, the Work/Project or property at the site of such Work/Project or <br />adjacent thereto, the Contractor, without special instruction or authorization from the County, is obligated to act at <br />the Contractor's discretion to prevent threatened damage, injury or loss. The Contractor shall give the County <br />prompt written notice of any significant changes in the Work/Project or deviations from the Contract Documents <br />caused thereby, and a Change Order, Unilateral Change Order or Modification Agreement shall be issued covering <br />the changes and deviations involved. If the Contractor believes that additional work done by it in an emergency <br />which arose from causes beyond the Contractor's control entitles the Contractor to an increase in the Contract Price <br />or an extension of the Contract Time, the Contractor may make a claim for the same. Such increase in Contract Price <br />and/or extension of the Contract Time will be included in the Change Order, Unilateral Change Order or <br />Modification Agreement if such claim is approved by the County. <br />5.8. Failure to Perform <br />If, during the Contract Period, the Contractor should refuse or otherwise fail to perform any of its obligations under <br />the Contract, the County reserves the right to: <br />a) Obtain the goods, Services and/or Work from another contractor; and/or <br />b) Terminate the Contract; and/or <br />c) Suspend/debar the Contractor from bidding on County solicitation documents for a period of up to twenty-four <br />(24) months; and/or <br />d) Pursue any and all other remedies available to the County. <br />5.9. Fiscal Non-Funding/Availability of Funding <br />The award of this Solicitation Document is contingent upon the availability of funding. Furthermore, if funding <br />during the Contract Period becomes unavailable, the County reserves the right to terminate the Contract after <br />providing the Contractor no less than twenty-four (24) hours written notice, provided that, the County will pay <br />the Contractor for any authorized goods and/or Services provided prior to the Contractor's receipt of said termination <br />notice. The County shall be the final authority as to the availability of funds. <br />5.10. Force Majeure <br />The Contract Time may be extended in an amount equal to time lost due to delays beyond the control of the <br />Contractor. Such delays shall include, but is not limited to, acts or neglect by the County or to fires, floods, labor <br />disputes, epidemics, abnormal weather conditions or acts of God.
