9.3 Additional Services <br />Upon written request by the SWDD Managing Director and/or Designee for additional services <br />that are not within the scope of services pertaining to the O&M of the Landfill, the Contractor <br />shall provide an itemized proposal for such work for approval. The Contractor is limited to a <br />management fee of no more than 10% for the duration of the Agreement. <br />9.4 Rate Adjustments <br />9.4.1 All Rates are subject to adjustments set forth in Exhibit 3. Calculation of Rate Adjustment. <br />9.4.2 The Contractor, at SWDD's request and subject to mutually negotiated terms, shall agree to <br />provide additional services in connection with the landfill and Ancillary Services provided in <br />connection with the Indian River County Landfill. Such additional services will be included <br />as an Addendum to this Agreement. <br />9.4.3 SWDD reserves the right to remove services from the Contractor's responsibility and if such <br />responsibilities are removed, the SWDD and the Contractor shall negotiate in good faith on <br />the compensation reduction for that service in this Agreement, including any increase for <br />said service that might have been added after the execution of this Agreement. SWDD shall <br />provide a 90 -day prior notice to the Contractor of any intent to remove responsibilities or <br />services from the Contractor. Such removal of Contractor responsibilities or services will be <br />included as an Addendum to this Agreement. <br />9.4.5 The Contractor shall pay all applicable sales, consumer, use, and other similar taxes or <br />charges assessed by any public authority for any Contractor activities whatsoever. The <br />Contractor shall pay all income taxes assessed against its compensation hereunder. <br />Article 10. Performance <br />10.1 Performance Bond <br />The Contractor shall furnish a performance bond within thirty (30) days of the Effective Date to <br />SWDD. Said performance bond shall be equal to fifty (500) percent of the total annual bid price. <br />The premium for the performance bond shall be paid by the Contractor and shall be written by <br />a Surety company licensed to conduct business in the State of Florida with an A.M. Best Financial <br />Rating of A -VI or higher for the most current calendar year available. The Surety(s) shall be a <br />company satisfactory to SWDD. <br />10.1.1 Said bond shall be forfeited should Contractor: <br />a) Fail to comply with the requirements of this Agreement; or <br />b) Take the benefit of any present or future insolvency status or make a general assignment <br />for the benefit of creditors, or file a voluntary petition in bankruptcy or a petition or <br />answer seeking an arrangement of reorganization or the readjustment of indebtedness <br />under the Federal bankruptcy laws or under any law or statute of the United States or <br />Indian River County Landfill Operating Agreement Final Page 23 of 42 <br />
