ARTICLE IX <br /> MISCELLANEOUS <br /> Section 9 . 1 . CONTRACTS . The Board may authorize any Officer or agent of the <br /> Corporation , in addition to the Officers so authorized by these Bylaws , to enter into any <br /> contract or execute any instrument in the name of and on behalf of the Corporation, and such <br /> authority may be general or confined to specific instances . <br /> Section 9 .2 . CHECKS, DRAFTS . ETC . All checks , drafts or other orders for the <br /> payment of money , and all notes or other evidences of indebtedness issued - in _the - name of the <br /> Corporation shall be signed by-such Officer or Officers , agent or agents of the Corporation and- <br /> in <br /> ndin such manner as shall- from time to time be determined by resolution <br />of the Board . - <br /> Section 9 . 3 . DEPOSITS . All funds of the Corporation shall be deposited from time to <br /> time to the credit of the Corporation in one or more such banks , trust companies or <br />other <br /> depositories as the Board may from time to time designate , upon such terms and conditions as <br /> shall be fixed by the Board . The Board may from time to time authorize the opening and <br /> keeping , with any such depository- as it may designate , of general and special bank accounts <br /> and may make such special _rules and regulations with respect thereto , not inconsistent with the <br /> provisions of these Bylaws , as it may deem necessary . _ <br /> Section 9 . 4. - GIFTS . The Board may accept on behalf of the Corporation any <br /> contribution , gift, bequest or devise for and consistent with the general purposes; -or for and <br /> consistent with any specific purpose , of the Corporation. <br /> Section 9 . 50 BOOKS- AND RECORDS . The Corporation shall_ keep correct and <br /> complete books and records - of account and shall also keep records of the actions of the <br /> Corporation , which records shall be open to inspection by members of the Board at any <br /> reasonable time . <br /> Section 9 . 6. FISCAL YEAR: ACCOUNTING ELECTION. The fiscal year of and <br /> method of accounting for the Corporation shall be as the Board shall at any time determine . <br /> Section 9 . 7. ANNUAL OPERATING REPORT . The President shall cause an Annual <br /> Report to be submitted to the Board no later than 150 days after the close of each fiscal year of <br /> the Corporation . Such Annual Report shall include , without limitation , the following identified <br /> elements : <br /> 9 . 74 The Organization Chart for the Corporation ' s current fiscal year and <br /> a listing of those persons serving as ; ( i) members of the Board and Board Committees , and ( ii) <br /> Officers : of the Board and Administrative Officers ; and <br /> 20 <br />
